Your agreement with Ufindus

These terms & Conditions (the “Terms”) govern your access to and use of the Ufindus website and services (the “Service”). By accessing or using the Service, you agree to be bound by the Terms.

Service

Ufindus is an online service that allows users to search for and locate companies, businesses, and service providers in the UK. We also provide sign manufacturing through partnership with Poppy Signs Ltd – offering a full 360 marketing solution for all our new and existing customers. We provide a directory of UK businesses that you can search using our search interface. Ufindus does not have any affiliation with the companies or businesses listed in our directory. We do not and will not vouch for the quality of any third-party company or organisation you find using our service. We will not accept any responsibility for any content that resides on a third-party website that we provide a link to.

We make every effort to ensure our listings are as accurate as possible and up to date. We accept there may be errors within our listings but we accept no liability for any errors you may encounter.

Personal information

We store personal details of users who register as members. We take all reasonable steps to ensure your details remain confidential. We do not and will not sell or make available all or any of your personal information.

There are certain circumstances where we may be legally bound to provide information about you, your account, or your usage of the Service. These details will only ever be released in accordance with the law and only to law enforcement officials.

User content

Any content posted on our website by a registered or unregistered user remains the intellectual property of the person who provided the content. You provide us with a non-exclusive license to display such user-provided content on our website. This includes but is not limited to ratings, reviews, and business details. You accept that you are personally responsible for any content you post on our website.

We reserve editorial control over all content placed on our website and may remove any content at any time without notice to anyone.

Ratings and reviews placed on our website do not reflect the opinions of Ufindus.

Intellectual property

Ufindus respects the Digital Millennium Copyright Act (DMCA). If you believe there is content on our website that breaches your intellectual property rights, you should contact us in the first instance and provide details. We will then, if required, take actions within the law to resolve the issue.

We also reserve the right to pursue persons or entities to the highest extent permitted by law who use our intellectual property without prior consent and/or permission. You may not copy, re-use, or re-post any of our content without prior written consent.

Linking

You may link to any content on our website with no permission required. You may not hot link directly to any images or other types of media.

Business listings

We add businesses to our directory regularly to increase the quality of our database. If you do not wish your business to be listed, we will remove the business listing. We may require proof that you are related to the business before we remove it.

If you list your business, you do so knowing that we make absolutely no promise of business or lead generation. You also agree not to hold Ufindus responsible for any ill effects that occur either directly or indirectly as a result of your listing on Ufindus.

Additional information

In addition to the above, here are some other things to keep in mind:

• Ufindus is not responsible for the accuracy or completeness of the information contained in its directory.
• Ufindus does not endorse or recommend any of the companies or businesses listed in its directory.
• Ufindus is not a party to any transactions that may take place between users and the companies or businesses listed in its directory.
• Ufindus is not responsible for any losses or damages that may result from the use of its directory.

Your agreement with Poppy Signs Ltd

Poppy Signs Ltd will provide the Services to you: (i) to a standard that meets or exceeds the Sales Order; (ii) using reasonable care and skill.

Charges

The Charges for the Services will be as set out in the Sales Order.

Payment terms

You must pay each Poppy Signs Ltd invoice in GBP(£) within 30 days of the date on which that invoice is issued or within such alternative period as is expressly stated in this Agreement (the “Due Date”). You will not be entitled to deduct or off-set any amount that Poppy Signs Ltd may owe to you against a Poppy Signs Ltd invoice.

Design

Design Process

Poppy Signs Ltd will follow a design process that is tailored to your specific needs. This process may involve one or more of the following steps:

Concept design: Poppy Signs Ltd will create a number of concept designs for your approval.
Detailed design: Poppy Signs Ltd will create a detailed design of your chosen concept.
Proofreading: You will have the opportunity to proofread the design and provide feedback.
Revisions: Poppy Signs Ltd will make any necessary revisions to the design in accordance with your feedback.

Modification of your design

You may request changes to your design, but these may be subject to additional charges.

Provision of materials

Responsibility for materials

You are responsible for providing Poppy Signs Ltd with all of the materials required for your design. These may include:

Images: High-resolution images that are relevant to your business.
Text: Accurate and well-written text that is relevant to your business.
Brand guidelines: Your company’s brand guidelines, including its logo, colour palette, and typography.

Acceptance of materials

Poppy Signs Ltd will not be responsible for any errors or omissions in your materials. You should review your materials carefully before providing them to Poppy Signs Ltd.

Intellectual property

Ownership of intellectual property

The copyright in all designs created by Poppy Signs Ltd will belong to Poppy Signs Ltd.

Permission to use materials

You grant Poppy Signs Ltd the right to use all of the materials that you provide to it in the course of providing the Services.

Communication

Contact with Poppy Signs Ltd designers

All contact with the Poppy Signs Ltd design team should be made via email. This is the fastest and most reliable way to contact the design team and ensures that a reliable paper trail is kept of the discussions and direction given to the design team on your project. It also allows the Design Manager and any other designers who may be working on your website to see the responses and notes made by you.

Telephone enquiries, including those relating to design changes or pricing, should be made to your Account/Project Manager during working hours (9-5 Monday to Friday) if necessary.

General terms

Cancellation

If you wish to cancel your project, you must contact Poppy Signs Ltd within 48 hours of placing your order. You will be refunded for any amounts that you have already paid.

Proof of delivery

Poppy Signs Ltd will provide you with a proof of delivery for any of the Services that it provides.

Governing law

This Agreement is governed by and construed in accordance with English law.

Jurisdiction

The parties irrevocably submit to the exclusive jurisdiction of the English courts in respect of any dispute or claim arising out of or in connection with this Agreement.

Other provisions

This Agreement is the entire agreement between the parties in relation to the subject matter of this Agreement and supersedes all prior or contemporaneous communications, representations, or agreements, whether oral or written.

No variation of this Agreement shall be effective unless it is in writing and signed by both parties.

If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck from this Agreement and the remaining provisions shall remain in full force and effect.

This Agreement may be assigned by Poppy Signs Ltd upon prior written notice to you. This Agreement may not be assigned by you without the prior written consent of Poppy Signs Ltd.

No waiver of any provision of this Agreement shall be effective unless in writing and signed by both parties.

Any notice or other communication under this Agreement shall be in writing and shall be deemed to have been duly given

Disclaimer

Ufindus and Poppy Signs Ltd will not be held responsible for any ill effects that occur as a direct or indirect result of using any of our services. We provide our service on an as-is basis.
